财务治理和财务管理仅一字之差,但研究对象和内容截然不同.财务治理主要研究债权人、股东和经营管理者之间的关系,而财务管理则主要研究资金的筹集、运用和分配,两者属于两个不同的范畴.对财务管理的认识,无论在理论还是实务届都已深入人心,但对财务治理的研究并没有受到应有的重视,更谈不上深入.所以次论文以财务治理为主线,利用我国上市公司的丰富材料,分析了我国上市公司存在的财务治理问题,如：大股东欺诈中小投资者、上市公司财务信息披露违规误导和虚假陈述、市场操作等违法违纪现象,严重阻碍了证券市场的发展,损害了投资者的利益.造成上市公司大肆违规舞弊,出现的这一系列特殊的、复杂的、难以解决的财务问题,不仅仅需要从数量上技术的角度对财务问题进行研究,更需要从隐藏在这些问题背后的财权关系的处理,即解决当前存在的上市公司财务治理问题.
本文主要以国内外公司治理理论和财务治理理论为基础,从财务治理的涵义出发,期间通过分析我国财务治理的现状以及对两种公司治理模式的国际比较,试图丰富和完善上市公司财务治理理论体系.包括了财务治理理论基础、财务治理基本理论和财务治理应用理论.对中国上市公司财务治理体系提出相应的措施.全文沿着“基本理论－现状与问题－国际比较－治理体系－建议措施”这样的线索进行论述.
