摘要
单位犯罪制度是我国刑事法上的重要制度,刑法中有200余个罪名涉及到单位犯罪.然而,单位犯罪与自然人犯罪在定罪量刑方面存在着较大的差异,使得不少行为人把单位作为犯罪工具,肆意实施违法犯罪活动.为此,本文从单位犯罪主体人格的双层构造论出发,引入间接正犯理论,探讨单位犯罪主体人格否认问题.
除引言及结语外,正文共分为四部分.其中,第一部分为单位犯罪主体人格否定的制度诱因与理论渊源；第二部分引入单位主体人格的双层构造论和间接正犯理论,探讨了单位犯罪主体人格否定的理论基础；第三部分通过对单位刑事责任能力的界定和单位意志的形成的分析,提出了单位主体人格否定的实质要件和判断标准,并分析了单位主体人格否定的理论特征；第四部分探讨了单位主体人格否定的适用问题.
本文的独到之处在于通过对单位犯罪主体的双层构造论分析,提出单位犯罪主体人格否定的前提是单位具有独立的第一层人格即具有民法、经济法、行政法上的人格；其次通过对单位刑事责任能力的界定,提出刑事责任能力作为犯罪主体的要素,体现的是对犯罪能力有无的判断,阐述了单位犯罪主体人格否定的构成.

The unit crime in criminal law system is the important system,has more than 200 criminal charges involve the unit crime.However,the unit crime and criminal conviction in natural exist obvious difference,the unit that many person as tools,implementation of crime is wanton illegal and criminal activities.Therefore,this article from the unit crime subject of double personality,introducing the theory of indirect,discusses the main body personality unit crime.
Besides,the introduction and conclusion the text is divided into four parts.Among them,the first part is the unit crime main body personality negative system theory and incentive,The second part of the main body personality introduction unit double structure theory and indirect theory,discusses the main body personality denial of unit crime,The third part of criminal responsibility by unit of the definition and the unit will form the analysis,the paper puts forward the main body personality negative unit substantial requirements and standards,and analyses the main character of negation theory of unit; The fourth part discusses the negative for main body personality units.
