第六条 违约责任
1、因甲方未建成本协议第三条所示“六通一平”用地条件,影响乙方开工建设并给乙方造成经济损失的,甲方将按照乙方实际损失给予赔偿.
2、因甲方原因,导致乙方无法按照本协议第五条约定享受到有关优惠政策,甲方将按照优惠政策的相应额度给予乙方补偿.
3、乙方未按本协议第五条约定进行或未经甲方同意变更以×××基地为地址的工商和税务登记,甲方可以解除本协议,乙方所付预订款不予退还,如该款已充作其他用途,则乙方另应向甲方支付 元违约金.
4、因一方原因影响本协议所涉地块国有土地使用权的取得和建设手续的办理,守约方有权要求违约方进行赔偿,并可解除本协议.
5、因乙方违约导致本协议解除,乙方必须在协议解除之日起30日内将项目用地无条件移交甲方,并承担相应的营业税、契税等一切税费,由此造成的涉及建设投入、财务费用等在内的一切损失由乙方承担.
第七条 免责条款
因不可抗力导致本协议不能履行,双方均不承担违约责任.
第八条 因本协议引起的或与本协议有关的任何争议,如无法协商解决,双方均可向有管辖权的人民法院提起诉讼.
第九条 在本协议履行过程中,如遇国家有关政策调整,本协议条款亦做相应调整,保证本协议与国家现行政策相一致.
第十条 本协议未尽事宜,由双方协商后签订补充协议,补充协议与本协议具有同等法律效力.
第十一条 本协议经双方签字盖章后生效.
本协议及附件一式两份,甲、乙双方各执一份.
