Party A will not be entitled to the Fee with respect to any candidate who, within one month prior to Party A’s presentation or introduction to Party B (the “Introduction”), contacted Party B either directly or through such candidate’s duly authorized agent for the purpose of pursuing employment or engagement. Party A will be entitled to the Fee if the Successful Candidate is hired within twelve (12) months following the Introduction, or within twelve (12) months following Party B’s last substantive employment or engagement discussion through Party A with such Successful Candidate.
