A “Force Majeure Event” means an event, condition, or circumstance and the effects thereof that are beyond the reasonable control and without the default or negligence of the Party claiming an event of force majeure, which, despite all reasonable efforts of the Party claiming an event of force majeure to avoid or to prevent it or mitigate its effects, causes a delay or disruption in the performance by such Party of any of its obligation imposed under this Contract and are not the direct or indirect result of the failure of such Party to perform any of its obligations under this Contract.
