Clause 10 – Delivery:
10.1.A specific date of readiness for shipment of the goods and readiness of the loading port shall be stated in the Schedule of Delivery.In addition to Russian origin Product,the Seller will provide the schedule of delivery.Seller will bear any tariff payments,customs payments or any other associated payments with CIF CHINA loading.
10.2.All terms are CIF unless otherwise agreed upon for a specific lift by the Buyer and Seller.
10.3 The Seller will confirms to the Buyer,not later than on the 10th day of the month prior to the month of shipment,the date when the goods will be ready for shipment and the port will be ready to dispatch the Goods.Not later than 20 (twenty) days prior to the commencement of the monthly delivery Buyer shall inform Seller of extra quantity of goods to be lifted in addition to the quantity confirmed by the Seller.The delivery date of the first lot of goods will be nominated by the Seller,depending on terms and conditions of the Charter Party Agreement for the tankers and is to be agreed upon between the Buyer and the Seller.
Clause 11 – Title and Risk:
a.The Title of The product shall pass from The Seller to the Buyer without liability at the discharge port as The Product passes the flange connection from the vessel manifold to The Buyer’s receiving facilities.
11.2 The risk of loss and damage of The Product shall pass from The Seller to the Buyer as the Product passes the flange connection from the vessel manifold to The Buyer’s shore receiving facilities.
Clause 12 – Inspection Quantity and Quality Determination:
12.1 Seller and Buyer mutually agree that an internationally recognized first class Independent Surveyor Company.SGS shall be app ointed at the Loading Port and CCIC at Discharging Port.The Seller will pay the total inspection fee,as per the surveyor’s invoice.If The Buyer is appointing his Surveyor acceptable to The Seller then all cost will be borne by The Buyer’s account.
12.2 Quantity and quality assessments,conducted by the appointed Surveyor Company,shall be in accordance with methods and procedures usually used in the oil industry practice and however,at all times shall strictly comply with the revised ASTM/IP International Standards and Procedures enforced at the date of compliance.
12.3 For converting volumes,from observed to standard temperatures,and volumes to weights,ASTM tables,latest revised edition,are applicable.
12.4 The quantity of a shipment of oil shall be assessed,by the surveyor at the loading and discharging port on completion of each loading and discharging operation,on the basis of shore figures.
