债权人代为制度的出现确实有效地维护了债权人的合法利益,同时更有助于交易的安全和良好的经济运行环境的建立.然而,对于这项法律制度,在司法实践中虽已频频出现,但是在学术理论界中或许还阐述的并不十分完整.本文试图通过对债权人代位权的概念,特征,构成要件以及效力等各个方面的详细论述,从而在理论的意义层面上去更好的阐述我国的债权人代为制度.

the institution of creditor's subrogation has actually protect the creditor's legal rights, and meanwhile is more helpful for trade security and setting up a healthy economy operation system. this legal institution has frequently taken place in practices but not completely introduced in academic range. the article aims at dicussing in details in different aspects of its features, essentials and functions through its concepts analysis, in order to describe creditor's subrogation rights institution in our country better.
